Wholesale Terms
These Terms & Conditions ("Terms") govern the supply of Little Stackers products ("Products") to you ("Customer", "you", "your") on a wholesale basis. By placing a wholesale order with Little Stackers Pty Ltd ("we", "us", "our"), you agree to be bound by these Terms.
1. Wholesale eligibility
Wholesale accounts are available to approved businesses only. We may request your ABN, trading name, business address, and other relevant details before approving your application.
You must be engaged in retail trade and agree to abide by these Terms.
2. Orders
Minimum opening order: $300.
Reorders: $200.
All orders are subject to acceptance by us. We may reject any order at our discretion. Orders may only be cancelled with our written approval.
3. Pricing
All prices are wholesale ex-GST unless stated otherwise.
Prices may change without notice, but changes will not affect confirmed orders.
4. Payment terms
Payment must be made in full prior to dispatch unless we have agreed to provide trade credit terms.
For approved credit accounts, payment is due strictly 30 days from invoice date unless otherwise agreed in writing.
Late payment: If payment is not received by the due date, we may charge interest at the rate of 2% per month (calculated daily) or the maximum amount permitted by law, whichever is lower. You will also be liable for any collection costs, legal fees, and expenses incurred in recovering the debt.
5. Delivery
Freight is at the purchaser's expense unless otherwise agreed.
Risk in the Products passes to you upon delivery to your nominated address or carrier.
Delivery times are estimates only; we are not liable for delays outside our reasonable control.
6. Risk and ownership
Risk passes to you upon delivery. Title to the Products remains with us until payment in full is received.
You must store Products in a way that clearly identifies them as our property until paid for.
7. Approved sales channels
You may only sell Little Stackers products through approved sales channels as agreed in writing.
Online sales are only permitted via your own business website and approved online marketplaces specified by us.
You must not sell via third-party platforms (including but not limited to Alibaba, Amazon, eBay, Catch) or to other resellers without our prior written consent.
We reserve the right to revoke wholesale privileges if this condition is breached.
8. Brand representation
You must represent our Products accurately and in line with our brand guidelines.
No alterations to packaging, labelling, or product design are permitted without prior written approval.
Use of our trademarks, logos, and imagery must comply with our current marketing guidelines.
9. Returns
Claims for shortages or damaged goods must be made within 7 days of receipt.
We do not accept returns for change of mind or over-ordering.
We will provide a replacement or credit for verified faults.
10. Privacy and credit checks
By applying for a wholesale account:
- you authorise us to collect, use, and store your personal information for the purposes of assessing your application, processing orders, and managing your account;
- you acknowledge that we may use the information to obtain references in relation to your application for trade credit and otherwise in accordance with our Privacy Policy; and
- you agree that the supply of any goods or services by us is subject to our Terms and Conditions of Trade, set out on this page.
11. Termination
We may terminate your wholesale account at any time if you breach these Terms.
You may terminate your wholesale account at any time by providing written notice and paying any outstanding amounts in full.
12. Jurisdiction
This Agreement is governed by the laws of Victoria, Australia. Any disputes will be subject to the exclusive jurisdiction of the courts of Victoria.
Trade credit accounts
New wholesale accounts are prepaid. Payment is due in full before we dispatch your order.
Once we have some trading history together, you can apply for a Net 30 credit account. That is a separate application and asks for trade references and a personal guarantee. Just ask us and we will send it through.
